How much do I need to pay for this transaction?


The VCC name application fee is $15 and is non-refundable.

  1. FIN holders are advised to seek consent from the relevant pass issuing authority (e.g. MOM/ICA) before registering or taking on an appointment (e.g. director, secretary) in an entity.
  2. Name application and incorporation must be submitted by the same lodger.

The VCC incorporation fee is $8,000 and is non-refundable.


Important Notes


  1. This transaction can only be filed by a subscriber to the constitution of the VCC or a CSP.
  2. Name application and incorporation must be submitted by the same lodger.
  3. FIN holders are advised to seek consent from the relevant pass issuing authority (e.g. MOM/ICA) before registering or taking on an appointment (e.g. director, secretary) in an entity.
  4. If any director/subscriber appointed is a foreigner, a CSP must be engaged to incorporate the VCC.
  5. At least one director must be ordinarily resident in Singapore. 
  6. At least one director (who may be the same person as in 3. above) must be either a director or a qualified representative of the fund manager of VCC. 
  7. The fund manager must be compliant with Section 46(2) of VCC Act. 
  8. The maximum file size is 5MB and the acceptable file type is PDF, where file submission is required.
  9. Upon successful incorporation, system-generated Unique Entity Number (UEN) will be issued to the business entity. This UEN is the business entity's identification number which is required for transacting with government agencies.

  9. Statement by the foreign corporate entity as to each proposed director's compliance with the factors prescribed for the purposes of section 53(3) of the VCC Act under the Variable Capital Companies Regulations 2020 - The prescribed form can be downloaded at this link.

How long will it take to file this transaction?


  1. This e-Service will take about 20 minutes to complete.
  2. It may take up to 2 months from the date of submission of all required documentation, to process the transfer of registration application. This includes the time required for referral to another government agency for approval or review.

How much do I need to pay for this transaction?


The VCC Transfer of Registration fee is $9,000 + $400 x [number of sub-funds as applicable]. The fee is non-refundable.

Important Notes

  1. A proposed new VCC director must be at least 18 years of age, of full legal capacity, a Singapore Citizen, Singapore Permanent Resident or EntrePass holder, and cannot be disqualified from acting as a director of a company e.g. an undischarged bankrupt.
  2. A VCC director may also be an Employment Pass (EP) holder. However, EP holders are advised to seek consent from the relevant pass issuing authority (e.g. MOM/ICA) before registering or taking on an appointment (e.g. director, secretary) in an entity.
  3. Endorsement is required by newly appointed director/agent/secretary, if filed by existing director/secretary or agent on behalf of company.
  4. If the newly appointed officer is a passport holder or a foreigner, please engage a corporate service provider (CSP) to file for changes.
